1. Acceptance of These Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Treequence Inc. (“we”, “us”), the operator of Delegatr, available at https://delegatr.io (the “Service”).

By creating an account, connecting a calendar, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you are accepting on behalf of a business, you represent that you have authority to bind that business.

You must be at least 13 years old to use the Service, and at least 18 years old to open a Business account or enter into a paid subscription.

2. Description of the Service

Delegatr is an AI-driven asynchronous communication and scheduling layer that sits between consumers and businesses. Rather than requiring a phone call, a hold queue, or a chain of emails, Delegatr lets a consumer state what they need in plain language and lets an AI agent handle the negotiation on behalf of the business.

In practice, the Service:

  • Interprets a scheduling request expressed in natural language.
  • Asks the intake questions a business has configured.
  • Cross-references consumer availability against the calendar, hours, and booking rules of the business.
  • Proposes mutually workable appointment times and confirms a selection.
  • Creates, updates, and cancels the corresponding calendar events on connected calendars.
  • Escalates to a human when it cannot resolve a request confidently.

Delegatr is a communications and coordination tool. We are not a party to the underlying appointment, we do not provide the services a business performs, and we do not act as an agent, broker, or guarantor for either side of a booking.

3. Account Types

The Service supports two distinct account types.

Consumer

Free

Consumer accounts are free to create and free to use. A consumer may search for participating businesses, hold scheduling conversations with the Delegatr agent, optionally connect a personal calendar so their real availability can be matched, and review or manage appointments booked through the Service.

We do not charge consumers for booking an appointment. Any fee, deposit, or cancellation policy attached to an appointment is set and collected by the business, not by Delegatr.

Business

Paid subscription

Business accounts are paid and are the accounts that receive automated interactions. A Business account configures its services, hours, booking rules, and intake questions, connects the calendar the agent is authorized to manage, and receives bookings resolved by the AI agent.

Business accounts are subject to the subscription terms and interaction caps in Section 4.

You are responsible for the accuracy of the information in your account, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without your authorization.

4. Subscription and Interaction Caps

4.1 Free trial

Every new Business account begins with a 30-day free trial. No payment method is required to start the trial, and you will not be charged during it. Before the trial ends we will ask you to choose a paid tier and add a payment method; if you do not, autonomous AI resolution pauses as described in Section 4.3 and the Service falls back to manual approval until a subscription is in place.

4.2 Paid tiers

Starter
$10 per month, per Business account, including up to 50 automated interactions per calendar month
Pro
$49 per month, per Business account, including up to 500 automated interactions per calendar month
Enterprise
$199 per month, per Business account, including up to 2,500 automated interactions per calendar month
Billing cycle
Monthly, in advance, auto-renewing until cancelled

An “automated interaction” is a scheduling conversation that the AI agent handles on your behalf, counted once per customer conversation no matter how many messages it takes. Interaction allowances reset on the 1st of each calendar month and do not roll over. You may move between tiers from your billing settings, with the applicable pricing shown before you confirm a change.

4.3 Graceful degradation at the cap

Your service does not stop

If you reach your interaction cap, Delegatr does not go dark. Autonomous AI resolution pauses, and the Service falls back to manual, human-in-the-loop approval. Incoming requests continue to be received and queued in your dashboard, and you review and approve or decline each one yourself. Nothing is booked automatically while you are over the cap.

Autonomous resolution resumes automatically on the 1st of the next calendar month, or immediately if you add capacity or upgrade your plan. We may notify you as you approach your cap so the change is not a surprise.

4.4 Payment, renewal, and cancellation

Subscriptions renew automatically each billing period until cancelled. You authorize us and our payment processor to charge your payment method on each renewal. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period, and you retain access until then.

Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods or unused interactions. Prices are exclusive of applicable taxes. We may change pricing with at least 30 days notice before the change applies to your next renewal.

If a payment fails, we may retry it and may suspend autonomous resolution, falling back to manual approval as described above, until the balance is settled.

5. AI Disclaimer and Responsibility

Please read this section

You acknowledge and agree that when you use Delegatr you are interacting with an AI agent, not a human being. AI systems are probabilistic and may occasionally produce unexpected, inaccurate, or incomplete results, including misreading a request, asking an irrelevant question, or proposing or booking a time that is not what either party intended.

The business owner is ultimately responsible for honoring or resolving appointments booked through the Service, including appointments that the AI agent booked autonomously on that business's behalf. Delegatr is not responsible for a missed, double-booked, incorrectly scheduled, or unhonored appointment.

By enabling autonomous resolution, a Business account grants the AI agent authority to negotiate and commit appointments within the rules that business has configured. You are responsible for keeping those rules, hours, services, and calendar connections accurate, and for reviewing your bookings.

Delegatr does not provide professional, legal, medical, or financial advice, and the AI agent must not be relied on as a substitute for it. If a conversation requires human judgment, escalate it or handle it directly.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, harassing, or deceptive purpose, or to make bookings you do not intend to keep.
  • Impersonate another person or business, or misrepresent your affiliation with one.
  • Attempt to reverse engineer, scrape, overload, probe, or circumvent any part of the Service, its rate limits, or its interaction caps.
  • Use the Service to send spam or unsolicited commercial messages.
  • Upload content that infringes the rights of others or that violates applicable law.
  • Resell, sublicense, or provide the Service to a third party except as expressly permitted by us in writing.

We may suspend or terminate accounts that violate this section, and may apply rate limits or other technical protections to preserve the reliability of the Service.

7. Third-Party Services

The Service integrates with third-party providers, including calendar providers such as Google Calendar and Microsoft Outlook, payment processors, and AI model providers. Your use of a connected third-party service is also governed by that provider's own terms and privacy policy.

You are responsible for maintaining the authorizations Delegatr needs to function. If you revoke calendar access or a third-party provider changes or interrupts its service, features that depend on it will stop working, and we are not liable for that interruption. How we handle data received from those providers is described in our Privacy Policy.

8. Intellectual Property

The Service, including its software, design, and branding, is owned by Treequence Inc. and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of the content you submit, including your business profile, booking rules, and conversation content. You grant us a limited license to host, process, and transmit that content solely to operate and support the Service for you. We claim no ownership over your customer relationships or your business data.

9. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that AI-generated output will be accurate or suitable for your purpose, or that any defect will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

10. Limitation of Liability

To the maximum extent permitted by applicable law, neither Treequence Inc. nor its officers, employees, or suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or relating to your use of or inability to use the Service, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months immediately preceding the event giving rise to the claim, or (b) fifty United States dollars ($50).

Without limiting the above, we are not liable for missed, cancelled, duplicated, or unhonored appointments, for the conduct or performance of any business or consumer using the Service, or for the consequences of AI-generated output, as described in Section 5.

Some jurisdictions do not allow the limitation or exclusion of certain damages, so parts of this section may not apply to you. These limitations apply even if a limited remedy fails of its essential purpose.

11. Indemnification

You agree to indemnify and hold harmless Treequence Inc. and its officers, employees, and suppliers from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your use of the Service, your content, your violation of these Terms or applicable law, or a dispute between you and another user of the Service, including a dispute over an appointment.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if your account creates a security or legal risk, or if we discontinue the Service. Where reasonably practicable and lawful, we will give notice before terminating a paid account that is in good standing.

On termination, your license to use the Service ends and pending automated interactions stop. Data handling after termination is described in our Privacy Policy. Sections 5, 8, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and for material changes we will provide notice within the Service or by email before the change takes effect. Your continued use of the Service after an update means you accept the revised Terms. If you do not agree, stop using the Service and cancel your subscription.

14. Governing Law and Contact

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to another agreed process, except that either party may seek injunctive relief in any court of competent jurisdiction.

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
